Terms of Service

These terms govern your use of Irabu (the "Service"), operated at https://chiron-umber.vercel.app. By creating an account or using the Service, you agree to these terms. If you're accepting on behalf of an organization, you're confirming you have the authority to bind that organization.
1. The Service
Irabu is the Enterprise Intelligence Platform — an AI-powered workspace that connects your organization's knowledge, people, applications, and workflows. Some capabilities are generally available today; others are on our roadmap. We're direct about which is which inside the product and on our homepage — features marked "Soon" are not yet part of the Service.
2. Accounts
- You must provide accurate information when creating an account and keep your login credentials secure.
- You're responsible for activity that happens under your account, including actions taken by API keys or integrations you've authorized.
- One person or organization may not maintain multiple free accounts to circumvent plan limits.
- We may suspend or terminate accounts that violate these terms, abuse the Service, or pose a security risk to other customers.
3. Subscriptions & Billing
- Paid plans are billed in advance on a recurring basis (monthly, unless otherwise agreed) via our payment processor (Stripe). See Pricing for current plan details.
- Plans are billed per workspace, with seat and usage limits as described on the Pricing page at the time of purchase.
- You can cancel or downgrade at any time from Settings → Billing; changes take effect at the end of the current billing period unless stated otherwise.
- Fees are non-refundable except where required by law or explicitly stated in a signed order form.
- Enterprise plans are governed by a separate order form or master services agreement where one has been signed; where terms conflict, the signed agreement controls.
4. Your Content
You retain ownership of everything you upload or create in Irabu — documents, tasks, messages, and any other content ("Your Content"). You grant us a limited license to host, process, and display Your Content solely to provide and improve the Service for you, as described in our Privacy Policy. We do not claim ownership of Your Content, and we do not use it to train AI models — see the Privacy Policy for the full commitment.
You're responsible for having the right to upload and share any content you put into the Service, and for your organization's compliance with applicable law when using it.
5. Acceptable Use
You agree not to:
- Use the Service to violate any law, or to store or transmit content you don't have the right to share
- Attempt to gain unauthorized access to another organization's workspace or data
- Reverse-engineer, scrape, or attempt to extract the underlying models or source code of the Service beyond what our public API and MCP server intentionally expose
- Interfere with or overload the Service's infrastructure, or bypass rate limits
- Resell or white-label the Service without a separate written agreement
6. AI Features
Irabu's AI features (the Irabu Agent, Knowledge Hub answers, and related capabilities) are generated using large language models and are provided "as is." AI-generated answers may be incomplete or incorrect even when sources are cited — use judgment before relying on them for consequential decisions. We show a confidence signal and sources with every AI answer specifically so you can evaluate that judgment call yourself.
7. Third-Party Integrations
The Service can connect to third-party tools (e.g. Google Drive, Slack, Google Calendar) at your direction. Your use of those integrations is also subject to the third party's own terms. We aren't responsible for the availability or behavior of third-party services.
8. Availability & Support
We aim for high availability but don't guarantee the Service will be uninterrupted or error-free. Formal uptime commitments (SLAs) are available as part of an Enterprise agreement, not under these general terms. Support response times vary by plan — see Pricing.
9. Disclaimers & Limitation of Liability
The Service is provided "as is" without warranties of any kind, express or implied. To the maximum extent permitted by law, Irabu will not be liable for indirect, incidental, special, or consequential damages, or for lost profits or data, arising from your use of the Service. Our total liability for any claim arising from these terms or the Service is limited to the amount you paid us in the 12 months before the claim arose.
10. Termination
You may stop using the Service and delete your account at any time from Settings → Privacy & Data, which also lets you export your data first. We may suspend or terminate access for violation of these terms, non-payment, or if required by law. Sections that by their nature should survive termination (ownership, disclaimers, limitation of liability) will continue to apply.
11. Changes to These Terms
We'll notify you by email and an in-app banner at least 14 days before any material change takes effect, matching the notice period in our Privacy Policy. Continued use of the Service after the effective date means you accept the updated terms.
12. Governing Law
These terms are governed by the laws of the jurisdiction in which Irabu is incorporated, without regard to conflict-of-law principles, except where local law requires otherwise for your protection as a consumer.
